- Software architecture and design consulting

- Ongoing maintenance and support
User Responsibilities
Account Security
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable laws or regulations

Payment Terms
Fees and Billing
- All fees are quoted in US Dollars unless otherwise specified

Project Scope Changes
Any changes to the agreed project scope may result in additional fees. We will provide written estimates for any scope changes before proceeding with additional work.
Intellectual Property Rights
Our Intellectual Property
All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, and software, are owned by UVXYZ and are protected by copyright, trademark, and other intellectual property laws.
Client Work Product
Upon full payment, clients will own the custom code and deliverables created specifically for their project, subject to any third-party licenses. We retain the right to use general methodologies, know-how, and experience gained from projects.
Third-Party Components
Projects may include third-party libraries, frameworks, or components subject to their respective licenses. Clients are responsible for compliance with such licenses.
Confidentiality
We understand that you may share confidential information with us during the course of our engagement. We agree to:
- Keep all confidential information strictly confidential
- Use confidential information only for the purpose of providing services
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon request
This confidentiality obligation survives the termination of our agreement and continues indefinitely.
Warranties and Disclaimers
Limited Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. Any warranty claims must be made within 30 days of delivery.
Disclaimer
EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
Limitation of Liability
IN NO EVENT SHALL UVXYZ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES.
Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless UVXYZ and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content or data you provide to us
Termination
Either party may terminate our agreement with written notice. Upon termination:
- All outstanding fees become immediately due and payable
- We will deliver all completed work product
- Each party will return or destroy confidential information
- Provisions that by their nature should survive will continue in effect
We reserve the right to suspend or terminate services immediately for breach of these Terms.
Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by:
- Posting updated Terms on our website
- Sending email notifications to registered users
- Providing notice through our services
Your continued use of our services after changes become effective constitutes acceptance of the new Terms.
